Terms of Service

1. Acceptance of Terms
By creating an account, joining an organisation, or otherwise accessing Docremark ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a clinic or organisation, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Docremark provides a multi-tenant, cloud-based platform for clinic management including patient records, visit queue management, condition and prescription documentation, vitals tracking, and AI-assisted voice-to-notes transcription. The Service is offered on a subscription basis to organisations (clinics and medical practices).
3. Accounts and Organisations
Each organisation on Docremark operates in an isolated tenant. The account owner who creates an organisation is responsible for all activity conducted under it, including actions taken by invited doctors and staff. You must provide accurate information when creating your account and keep your credentials secure. You are responsible for any unauthorised use of your account that results from your failure to safeguard your login details.
4. Subscriptions and Billing
Access to Docremark requires a paid subscription once your free trial ends. Subscriptions are billed on a monthly or annual cycle, depending on your chosen plan. Payments are processed by Creem, our third-party payment processor. By subscribing, you authorise Creem to charge your payment method on a recurring basis until you cancel.
Plan changes (upgrades or downgrades) take effect immediately and are billed on a pro-rated basis for the remaining days in the current billing cycle. Docremark reserves the right to change subscription prices upon 30 days' notice by email to your organisation's account owner.
5. Free Trial
New organisations are eligible for a 7-day free trial on paid plans. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Service. Trial data is preserved when you convert to a paid plan. Each organisation is entitled to one free trial; creating multiple organisations to obtain repeated trials is prohibited.
6. Patient Data and PHI Responsibility
You, as the organisation owner and operator of your clinic, are the data controller of any patient information (including Protected Health Information) entered into Docremark. You are solely responsible for obtaining any required patient consents, meeting applicable healthcare data regulations (including HIPAA where applicable), and ensuring that only authorised staff access patient records. Docremark acts as a data processor and provides access controls, encryption, and audit logging to support your compliance obligations. We do not independently verify or guarantee regulatory compliance for your specific jurisdiction.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Enter false, misleading, or fabricated patient data into the platform.
- Attempt to gain unauthorised access to other organisations' data or to Docremark's infrastructure.
- Use automated tools (bots, scrapers, crawlers) against the Service without prior written consent.
- Resell, sublicense, or otherwise commercialise access to the Service without authorisation.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
8. Intellectual Property
Docremark and its underlying technology, design, and content are the exclusive property of Docremark and its licensors. These Terms do not grant you any ownership rights in the Service. Your organisation retains ownership of all patient data and clinical content you enter into the platform.
9. Termination
You may cancel your subscription at any time from your billing settings. Access to the Service will continue until the end of the current billing period. Docremark may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, or engage in conduct that is harmful to other users or the platform. Upon termination, your organisation's data will be retained for 90 days before permanent deletion, during which time you may request an export.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Docremark does not warrant that the Service will be uninterrupted, error-free, or suitable for any specific clinical or regulatory purpose. The AI voice-to-notes feature produces automated transcriptions and structured suggestions; all clinical decisions remain the sole responsibility of the treating clinician.
11. Limitation of Liability
To the fullest extent permitted by law, Docremark shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or harm arising from reliance on AI-generated clinical content. Our total aggregate liability to you shall not exceed the fees you paid to Docremark in the three months preceding the claim.
12. Changes to Terms
We may revise these Terms from time to time. We will notify organisation account owners by email at least 14 days before material changes take effect. Continued use of the Service after the effective date of the revised Terms constitutes acceptance.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration or the courts of the jurisdiction in which Docremark is registered.
